The Local Europe AB Marketplace Service Agreement

PARTIES

1.	This is an agreement between The Local Europe AB ('The Local') and the user of the Marketplace service ('the Service') on thelocal.se ('the Advertiser').

2.	This user agreement takes effect from the point at which the Advertiser creates an account on thelocal.se. 

THE PARTIES' RIGHTS AND OBLIGATIONS

3.	The Local undertakes, subject to the limitations laid out below, to provide the Advertiser with a page ('the Page') in the Marketplace section of thelocal.se which may be used by the Advertiser to promote its business. The Page will have a standard style and format decided by The Local.

4.	The Local also undertakes to give exposure to the Marketplace in general and to the Advertiser's Page via links across thelocal.se.

5.	The Local undertakes to use all reasonable efforts to maintain thelocal.se and the Service, in order that the Advertiser may promote its business to users of thelocal.se.

6.	The Advertiser agrees that The Local, including its subsidiaries and any company that may at some point in the future acquire The Local, may process personal information supplied by the Advertiser upon registration or payment. The details will be used for the administration of The Local's Marketplace service. The Local will treat the personal details in accordance with the Swedish Personal Data Act 1998 (Personuppgiftslagen - SFS 1998:204). The Local undertakes not to spread personal details to third parties unless required to do so by law.

7.	Only the Advertiser may publish information on its Page. It is not permitted for a third party to publish on the Advertiser's Page. By handing over login details to a third party and allowing the third party to publish material on its Page, the Advertiser will be considered to have broken the terms of this agreement.

8.	The Local reserves the right to change the pricing of the Service at any time. This includes but is not limited to the right to create special offers which will be made available to all Advertisers. The purchase by the Advertiser of the Service for a period of time is no guarantee that the price will remain the same for subsequent purchases.

9.	The Local reserves the right to temporarily and without warning close down the Service for maintenance or other technical work. The Local's Pages are made available without guarantees and with reservation for any technical faults or disruption in the service.

10.	The Local accepts no liability for injury or loss related to use of the Service.

11.	The Local does not vet the content of the Advertiser's Page prior to publication. The Advertiser is responsible for ensuring that the content of the Page does not:

o	Constitute agitation against a minority group (hets mot folkgrupp), Sedition, child pornography or an illegal depiction of violence.
o	Violate a third party's intellectual property rights, for example by publishing without permission images owned by a third party.
o	Constitute illegal marketing or otherwise violate the Marketing Act 1996 (Marknadsföringslagen).
o	Violate company secrecy.
o	Constitute defamation.
o	Contain pornography or some other kind of sexually explicit image or text.
o	Contain personal data relating to other people. Such data might include, but is not limited to, address, phone number, email address, images, personal number, medical information or other sensitive information.
o	Contain classified or otherwise confidential information as defined by the Secrecy Act 1980 (Sekretesslagen [1980:100]).
o	Contain files or code containing viruses, Trojans, chain viruses or other programmes etc which are likely to damage another person's computer or software, or contain links to pages containing such material.
o	Contain material which in some other way contravenes the law of Sweden.

12.	The Local reserves the right to close the Advertiser's account and to remove or edit the Advertiser's page if the material falls into any of the categories named in paragraph 7 above, or if the material is in any other way judged by The Local to be inappropriate for publication.

13.	The Advertiser agrees to indemnify The Local from and against any costs, claims, losses, liabilities, expenses, damages and settlement amounts arising from its use of the Service. The Local shall not be held liable by the Advertiser for any claims deriving from demands from a third party relating to the content of the Advertiser's Page, including but not limited to costs related to violation of intellectual property rights, unauthorised use of commercially confidential information, breaches of the Swedish Marketing Act (Marknadsföringslagen - SFS 1995:450), the Swedish Personal Data Act 1998 (Personuppgiftslagen) or other applicable laws.

14.	The Local reserves the right to display advertisements around all Pages. Advertisements may be in the form of banners or any other form of advertisement used by internet publications. The Advertiser does not have the right to decide which advertisements will be displayed nor how or where on the page they are displayed. 

15.	The Local may, in the course of marketing the Service, publish material from The Local's Pages in other media, either in Sweden or abroad, without providing compensation to the Advertiser. The material may be presented either in edited form or in its entirety. 

16.	The Local reserves the right to without notice change these terms and conditions. Any changes to the terms and conditions will be communicated to the Advertiser via email and on the Advertiser's account management page.

17.	The Advertiser acknowledges that The Local makes no guarantees whatsoever about the number of times the Advertiser's Page is viewed, the number of clicks generated to the Advertiser's own web site or the amount of business generated for the Advertiser as a result of its use of the Service.

GOVERNING LAW 

18.	This agreement shall governed by Swedish law.

19.	Disputes arising from this agreement shall be tried by a Swedish court, with the Stockholm District Court as the court of first instance. The language to be used for any proceedings shall be English.
